1. INTRODUCTION

These Terms of Service (“Terms”) govern your access to and use of the Collty website(s), platform, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

Collty is a project delivery and collaboration platform that enables Clients to discover, engage, and manage work with independent Teams and Specialists through structured, sprint-based workflows.

2. DEFINITIONS

“Collty,” “we,” “us,” or “our” means the Collty entity operating the Service.

“Client” means any individual or organization seeking to engage Teams or Specialists through the Service.

“Team,” “Partner,” or “Specialist” means an independent individual or organization offering services via the Service.

“User” means any Client, Team, Specialist, or Visitor.

“Sprint” means a fixed work period (typically one week) used to structure project delivery and payments.

“Content” means any data, text, files, messages, tasks, or materials submitted through the Service.

3. ROLE OF COLLTY

Collty is not:

  • an employer, staffing agency, or recruiter;
  • a party to any agreement between Clients and Teams or Specialists;
  • responsible for the quality, legality, or delivery of services provided by Users.

All engagements are direct contractual relationships between Clients and Teams or Specialists.

Collty provides tools for discovery, project coordination, sprint tracking, communication, and invoicing only.

4. ACCOUNTS AND ELIGIBILITY

  • You must be at least 18 years old (or the age of majority in your jurisdiction).
  • You agree to provide accurate, current, and complete information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.

5. USING THE SERVICE

Hiring and Project Setup

  • Clients may submit requests using “Hire” or “Discuss project first.”
  • Teams and Specialists may accept, decline, or request clarification.

Sprint-Based Workflow

  • Projects are structured into weekly sprints unless otherwise agreed.
  • Tasks are planned per sprint using Collty’s task management tools.
  • Communication, meetings, and analytics are handled within the platform.

Changes

Clients may request:

  • sprint extensions or pauses,
  • timeline adjustments,
  • continuation of work after a sprint or project ends,

subject to agreement with the Team or Specialist.

6. PAYMENTS AND INVOICING

Payments are typically made per completed sprint.

Invoices are generated based on agreed scope, hours, or deliverables.

Once a sprint is marked as completed, payment is due according to the invoice terms.

Collty does not guarantee outcomes, business results, or financial success.

7. USER DATA, PROFILES, AND PUBLIC TEAM INFORMATION

You retain ownership of your Content. By submitting Content, you grant Collty a limited, non-exclusive license to use it solely to operate and improve the Service.

You agree not to:

  • violate laws or third-party rights;
  • submit misleading, unlawful, or abusive content;
  • attempt to bypass platform safeguards or payment flows.

User Data, Profiles, and Public Team Information

By creating an account on Collty and/or creating or managing a Team profile, you acknowledge and agree that you provide Collty with information, including personal data, business information, and project-related content, which Collty may collect, store, process, and use in accordance with its Privacy Policy.

This includes, without limitation:

  • account and contact information;
  • profile and team descriptions;
  • services offered, skills, experience, availability, and portfolio materials;
  • communications, task data, and project-related information.

Public and De-Identified Information

You understand and agree that:

  • information about Teams, services, skills, and experience may be displayed publicly on the Collty platform to enable discovery, search, and matching;
  • Collty may present such information in an aggregated or de-identified form, including in search results, analytics, recommendations, or platform insights;
  • public visibility of Team profiles is an essential part of the Service.

Collty will not publicly display sensitive personal data (such as private contact details) unless you explicitly choose to make such information public.

Accuracy, Integrity, and Prohibited Conduct

You represent and warrant that all information you submit to Collty is:

  • accurate, current, and not misleading;
  • lawful and respectful;
  • provided in good faith.

You agree not to:

  • submit false, deceptive, or misleading information;
  • create fake or duplicate Teams, accounts, or identities;
  • impersonate individuals or organizations;
  • publish offensive, abusive, defamatory, discriminatory, or unlawful content;
  • misrepresent skills, experience, availability, or project history;
  • attempt to manipulate rankings, visibility, or user trust.

Collty reserves the right to review, restrict, suspend, or remove content, profiles, or accounts that violate these Terms or undermine trust in the platform.

Consent to Data Processing

By using the Service, you expressly consent to:

  • the collection, processing, storage, and use of your data (including personal data) as described in these Terms and the Privacy Policy;
  • the use of your information for operating, improving, securing, and promoting the Service, including discovery, matching, analytics, and fraud prevention.

If you do not agree with these terms, you must not create an account or use the Service.

8. COMMUNICATIONS

You consent to receive:

  • service-related communications (e.g., account notices, project updates);
  • administrative and security messages.

Marketing communications are optional and can be unsubscribed from at any time.

9. INTELLECTUAL PROPERTY

The Service, including software, design, branding, and trademarks, is owned by Collty or its licensors. You may not copy, modify, reverse engineer, or exploit the Service except as permitted by law or with written permission.

10. CONTENT, ARTICLES, NEWS, AND AI-GENERATED CONTENT

Informational Purpose Only

The Collty platform may include articles, news, insights, blog posts, guides, and other editorial or informational materials (the “Content”).

All such Content is provided for general informational purposes only and does not constitute:

  • business, financial, legal, tax, or investment advice;
  • professional consulting or expert recommendations;
  • media, journalistic, or editorial reporting in the traditional sense.

Collty is not a media outlet, consulting firm, or advisory service, and does not guarantee the accuracy, completeness, or timeliness of any Content.

Use of Third-Party Sources and Artificial Intelligence

You acknowledge and agree that:

  • some Content may be prepared using third-party sources, publicly available information, or licensed materials;
  • some Content may be created, summarized, translated, or assisted by artificial intelligence (AI) tools;
  • such Content may include estimates, assumptions, forward-looking statements, opinions, or hypothetical scenarios.

Despite reasonable efforts, Content may contain inaccuracies, omissions, outdated information, or unintentional errors. You agree that you must not rely on such Content as a sole basis for business, financial, legal, or operational decisions.

Opinions and Responsibility

Any opinions expressed in articles or materials on the platform are provided for informational purposes only and do not represent guarantees, commitments, or endorsements by Collty. Collty shall not be liable for any actions taken or decisions made based on Content published on the platform.

AI Assistant Disclaimer

The Service may include an AI-powered assistant designed to help Users explore teams, understand platform features, estimate roles or hours, or navigate projects.

You acknowledge and agree that:

  • the AI assistant may generate incorrect, incomplete, misleading, or hypothetical responses;
  • the AI assistant may produce responses that are outdated, inappropriate, or inconsistent;
  • the AI assistant may hallucinate information or misunderstand user intent.

The AI assistant is provided as a support tool only and does not replace human judgment, professional advice, or independent decision-making.

You remain solely responsible for verifying any information provided by the AI assistant and making final decisions related to hiring, project scope, timelines, or management.

Collty does not guarantee the accuracy, reliability, or suitability of AI-generated outputs and disclaims liability for reliance on such outputs.

Intellectual Property and Content Restrictions

All Content published on the Collty platform, including articles, text, graphics, layouts, and AI-assisted materials, is protected by intellectual property laws and is owned by Collty or its licensors, unless explicitly stated otherwise.

You may not:

  • copy, reproduce, republish, distribute, or publicly display Content;
  • create derivative works based on Content;
  • use Content for commercial purposes;

without prior written consent from Collty, except where explicitly permitted by law.

11. USER ACCOUNTS AND DASHBOARDS

Personal Accounts and Dashboards

Collty provides registered Users with access to personal accounts and dashboards (“Accounts”) that enable project management, collaboration, communication, analytics, and billing functionality.

Accounts are provided as a tool for convenience and coordination only. Collty does not guarantee uninterrupted availability, error-free operation, or the preservation of specific interface features.

Account Responsibility and Security

You are solely responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activities performed through your Account;
  • ensuring that information stored in your Account is accurate and lawful.

Any actions taken through your Account will be deemed to have been authorized by you. You must notify Collty immediately of any suspected unauthorized access or security breach.

Account Data and Visibility

Your Account may contain personal data, business information, project data, messages, tasks, files, analytics, and other content.

You acknowledge and agree that:

  • certain information may be visible to other Users based on your role, permissions, and platform functionality;
  • Team profiles and non-sensitive project-related information may be publicly accessible as part of the Service;
  • visibility and access controls are an essential part of how Collty operates.

Collty is not responsible for how other Users use information that you choose to make visible through the Service.

Use Restrictions

You agree not to:

  • create multiple or fake Accounts;
  • impersonate others or misrepresent your identity or role;
  • attempt to access Accounts, data, or systems without authorization;
  • interfere with platform functionality, analytics, rankings, or AI features;
  • use Accounts for unlawful, abusive, or deceptive purposes.

Suspension and Termination of Accounts

Collty reserves the right, at its sole discretion, to suspend, restrict, or terminate any Account, remove or limit access to content, or disable features or dashboards at any time and with or without prior notice where these Terms are violated, false or harmful information is provided, there is a risk to platform security, trust, or other Users, or where required by law or regulatory obligations.

Collty shall not be liable for any losses resulting from such actions, to the extent permitted by law.

Data Retention After Account Closure

Upon Account closure or termination, certain data may remain accessible to other Users where required to complete ongoing projects or comply with legal obligations. Collty may retain data as described in the Privacy Policy.

12. TERMINATION

You may stop using the Service at any time.

Collty may suspend or terminate access if these Terms are violated, required by law, or necessary to protect platform integrity or other Users.

Termination does not affect accrued rights or obligations.

13. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

COLLTY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY OR ERROR-FREE OPERATION.

Collty does not guarantee project success, income, availability of Teams, or uninterrupted access.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Collty shall not be liable for indirect, incidental, special, or consequential damages;
  • Collty’s total liability shall not exceed the fees paid to Collty (if any) in the preceding 12 months.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Collty from claims arising out of your use of the Service, your Content, or your violation of these Terms or applicable law.

16. GOVERNING LAW

These Terms are governed by the laws of the jurisdiction in which the Collty operating entity is established, without regard to conflict-of-law principles.

17. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be communicated as required by law.

Continued use of the Service constitutes acceptance of the updated Terms.
