These Terms govern access to Collty as a cloud software and platform service and reflect Collty's subscription, workspace, AI and professional-community model.

Subscription and usage charges pay for access to Collty. Collty does not take a percentage of project value or act as payment intermediary, escrow provider, employer or staffing agency.

Users control their work

Projects, teams, commercial terms and professional services are arranged by users. Collty supplies software, permissions, workflow, analytics and AI assistance.

Agreement with Collty

These Terms of Service ("Terms") are a binding agreement governing your access to collty.com and the Collty cloud software and platform service, including accounts, workspaces, applications, APIs made available to you, AI features, Signals and related support (the "Service").

"Collty," "we," "us," or "our" means Collty, which operates collty.com and provides the Service. If you use the Service for an organization, you represent that you are authorized to bind it; "you" then includes that organization.

By creating an account, accepting an order form, clicking to accept, or using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service. An order form, subscription confirmation, data processing addendum or product-specific terms control over these Terms only for the subject they expressly address.

What Collty provides

Collty is a software and platform service (SaaS/PaaS) for professional profiles, teams, project workspaces, planning, tasks, collaboration, analytics, commercial operations, professional community features and AI-assisted workflows. Features may include Teams Canvas, Project Architect, Creative Canvas, Agent Center, Project Workspace, Project Analytics, CRM, proposals, Signals and related tools.

Platform responsibility

Collty is responsible for providing and operating the Service under these Terms. Collty is not responsible for performing a user's professional services, managing a user's business, guaranteeing a team or project outcome, or enforcing an agreement made between users.

Unless a signed agreement states otherwise, Collty does not provide a service-level agreement, dedicated infrastructure, guaranteed uninterrupted availability or professional consulting. Support, availability and feature limits depend on the applicable plan.

Eligibility, accounts and access

  • You must be at least 18, legally capable of entering this agreement and permitted to use the Service under applicable law.
  • You must provide accurate information and keep account and professional profile information reasonably current.
  • Registration may be invitation-only. Invite codes and links are personal, limited, revocable and may not be sold, published or automated.
  • You are responsible for credentials, devices, authorized users and activity under your account. Notify Collty promptly of suspected compromise.
  • One person may use permitted workspace roles, but must not impersonate another person, create deceptive identities or evade account restrictions.
  • Collty may require email confirmation, profile completion, age confirmation or reasonable security and business verification before enabling features.

Workspaces, roles and permissions

The Service supports Specialist, Client, Partner and other workspace roles. A role determines available tools and permissions; it does not create employment, agency, partnership or fiduciary status between Collty and a user.

  • Workspace owners and administrators control membership, roles, projects, feature settings and access to organization-controlled content.
  • You may access only workspaces, projects, teams, content and records you are authorized to use.
  • If you add another person, you represent that you are authorized to provide their information and grant that access.
  • Organizations are responsible for configuring least-privilege access, removing former members and reviewing sensitive exports and integrations.
  • Collty may rely on instructions from the account or workspace administrator unless notified of a verified dispute or legal restriction.

Subscriptions, usage and charges

Paid plans may be based on subscription period, users, workspaces, features, storage, AI usage, service credits or other limits shown at purchase. The applicable plan, price, taxes, billing cycle, renewal, cancellation and refund terms are shown in the order form, subscription confirmation or account billing interface.

  • You authorize charges described in the applicable purchase record and are responsible for taxes other than taxes on Collty's income.
  • Usage meters, including AI tokens or provider usage, may be used to apply plan limits, credits or overage rules disclosed for the plan.
  • A failed or overdue subscription payment may result in restricted paid features after legally required notice or any agreed cure period.
  • Except where law or the applicable purchase terms require otherwise, amounts already due are non-refundable.
  • Free, trial, preview or promotional access may have additional limits and may be changed or ended at any time.

No transaction commission or payment intermediation

Collty does not take a project percentage

Collty subscription or usage fees are charges for the Service. Collty does not charge a success fee or commission calculated as a percentage of a project, team engagement, invoice or payment between users unless a future signed commercial agreement expressly says otherwise.

Invoice, expense, rate, budget, time and payment-status features are workflow and record-keeping tools. Collty does not receive, hold, escrow, transmit, settle or guarantee funds between users and is not a bank, money transmitter, payment institution, escrow service or collection agency. Users arrange and perform payments outside Collty through their chosen lawful methods.

Users are responsible for commercial terms, invoicing accuracy, taxes, currency, payment instructions, refunds, charge disputes and legally required records between them. A status shown in Collty is informational unless the parties separately agree otherwise.

Teams, projects and user-to-user arrangements

Users may discover specialists, assemble teams, combine teams, create internal or external projects, invite participants and manage delivery through the Service. Any professional-services, employment, contractor, partnership, confidentiality, intellectual-property or payment agreement is directly between the relevant users or organizations.

  • Collty is not an employer, recruiter, staffing agency, professional-services provider, agent, joint venturer or party to an agreement between users.
  • Collty does not verify every statement, credential, portfolio item, rate, availability, legal status or authority of every user.
  • Users must conduct appropriate diligence and document scope, ownership, confidentiality, acceptance, payment and compliance terms for their engagement.
  • Team Assembly and related matching features recommend a possible team composition for a specific user request. The recommendation is based on available, permitted evidence about professional experience, competencies, verified outcomes and work with other teams. Collty does not itself hire, recruit, engage or reject a professional.
  • Where available, Collty presents multiple alternative team options. The user can inspect the public or otherwise authorized profiles shown in those options, compare experience and competencies, remove or replace people and make the final selection.
  • Search and ranking are not an exhaustive directory or a guarantee that every potentially relevant professional was considered, shown or ordered in a particular position. Visibility, profile completeness, evidence quality, availability, permissions and the specific request can affect the result.
  • Team analysis, compatibility, availability, reputation and recommendations are decision-support signals, not warranties of identity, qualification, suitability, availability, performance or project outcome.
  • The user independently reviews profiles, conducts appropriate diligence and decides whether to contact, select, invite, contract with or assign work to a professional. To the fullest extent permitted by law, Collty is not responsible for a user's decision, a recommendation's inclusion or omission, or the outcome of an engagement between users.
  • Adding, activating or removing a person or child team in a project changes platform access and workflow state only; it does not by itself amend an external contract.

Project and commercial tools

Projects may use weekly, two-week, monthly or continuous planning cycles and may enable or disable time tracking, internal costs, billing and invoices. These settings configure Collty's workflow; they do not determine the legal character, duration, price or tax treatment of a project.

Users are responsible for reviewing generated plans, task dates, dependencies, analytics, Team Pulse, workload, forecasts, invoices, expenses, proposals and exports. Collty does not provide accounting, tax, legal, employment, medical or investment advice.

A project may last any length of time. A sprint or planning cycle is only a configurable reporting and planning period. Completing a task, sprint or milestone in Collty does not independently establish acceptance or payment unless the relevant users have agreed that it does.

AI features and agents

Collty may provide algorithmic recommendations, generative AI and configurable agents for team assembly, project planning, analysis, content drafting, summaries, professional discovery, workflow monitoring and other functions. AI outputs are probabilistic and can be inaccurate, incomplete, outdated or unsuitable.

  • You must review outputs before relying on them for staffing, project, financial, legal, safety, employment or external-communication decisions.
  • You must have rights and permission to submit prompts, files, personal information and workspace content to an AI feature.
  • You must not use Collty AI to make unlawful discriminatory decisions, infer highly sensitive traits without lawful authority, deceive people, create prohibited content or bypass safeguards.
  • Agent permissions, operating rules, pause state, approvals and project access must be configured by an authorized user. You remain responsible for actions you authorize.
  • Collty may apply model, provider, rate, context, safety and usage limits and may change a model when reasonably necessary to operate the feature.
  • Collty may label AI-generated or AI-assisted material and preserve generation records where required for transparency, safety or compliance.
  • AI output may not be unique. Other users may receive similar output, and you receive no ownership in third-party material contained in an output.
  • When you use a team-recommendation or task-allocation feature for your organization, Collty provides the AI system and you operate the feature as its deployer. You must preserve notices and human control and must not treat a recommendation as an automatic employment or contractual decision.
  • Team matching is generated for the project request you provide and is limited to permitted evidence available to the feature at that time. It is a recommendation of possible team composition, not an offer of employment, staffing service, background check, credential verification or decision made on your behalf.
  • Before first publication of a professional profile, you must expressly acknowledge the current Terms and Privacy Policy and instruct Collty to process the profile fields and permission-scoped professional work evidence needed to provide discovery, matching, ranking, team recommendations and profile-quality guidance. Collty records the applicable document and notice versions and the time of acknowledgement. This instruction is limited to providing those requested platform functions; where applicable law requires consent for a separate optional use, Collty will request that consent separately.
  • You can correct your profile at any time, change its available visibility controls, remove it from discovery where the applicable setting permits, or request deletion of the profile or account. Deletion remains subject to records Collty must retain for security, fraud prevention, billing, disputes, legal obligations and the integrity of work already shared with authorized project participants.
  • Verified project activity can affect future ranking and team recommendations. Relevant signals may include accepted tasks and outcomes, confirmed roles, delivery reliability, current availability and capacity, and permission-scoped collaboration history. Private unrelated content, protected attributes and unsupported claims must not be used as ranking evidence.
  • A result rating is feedback for evaluation and controlled system improvement. It is not a human review, appeal or correction request.
  • For a displayed professional match, Collty may explain the categories of professional evidence that materially supported the result. Explanations do not disclose hidden candidates, another user's private information, protected security details, model prompts, thresholds or proprietary ranking weights.
  • Collty may suggest how a professional can make their own profile clearer or more complete by adding relevant professional evidence, such as capabilities, roles, cases, industry experience, availability or capacity. Guidance does not guarantee inclusion, ranking, selection, contact or engagement.
  • A professional may correct their own profile evidence or report that a recorded AI-assisted ranking relied on inaccurate or unsupported evidence through an available authenticated channel. Collty may verify identity and scope and may correct the system or source record. Collty does not act as an employer, recruiter, tribunal or arbitrator, cannot require a customer to select a person, and does not decide a contractual or employment dispute between users.

Keep a human in control

Do not configure an agent to send commitments, approve money, change contractual scope, make employment decisions or publish sensitive information without appropriate human review and authority.

Your content and confidential information

As between you and Collty, you retain ownership of content you submit to the Service. You grant Collty and its service providers a worldwide, non-exclusive, limited license to host, copy, process, transmit, display and modify that content only as needed to provide, secure, support and improve the Service, comply with law, and follow your authorized instructions.

  • You represent that you have all rights and permissions needed for the content and its intended use.
  • You must not upload unlawful, infringing, malicious, deceptive or access-restricted information without authorization.
  • Private workspace content is not made public merely because it is stored in Collty.
  • Each organization remains responsible for confidentiality obligations between its users and counterparties.
  • Feedback about the Service may be used by Collty without restriction or payment, provided Collty does not publicly identify you without permission.

Profiles, Signals and public content

Some profile, portfolio, team, organization, Insight and Signal information may be public or discoverable according to the feature and your visibility settings. Public content may be viewed, indexed, linked, quoted or shared by others outside Collty. Do not publish information you must keep confidential.

  • Professional claims, cases, credentials, availability and identity information must be accurate and not misleading.
  • Signals must contribute to professional discussion and must not be spam, undisclosed deceptive promotion, harassment, hate, illegal content or manipulation.
  • Collty may organize, recommend, label, limit distribution of, remove or preserve content to enforce these Terms, comply with law and protect users.
  • Where required by law, Collty may provide reasons for moderation and a method to report illegal content or appeal a decision.
  • Accepted answers, reactions, connections, achievements and reputation indicators are platform signals and may be corrected or removed if generated through abuse or error.

Acceptable use

You must not, and must not help another person to:

  • break the law, violate rights, contractual duties, sanctions or export controls;
  • access another account, workspace, project, file, message, API or system without authorization;
  • upload malware, exploit vulnerabilities, disrupt service, evade limits, probe security or interfere with other users;
  • scrape, harvest, bulk-export or build profiles of users except through a Collty feature and for its authorized purpose;
  • reverse engineer, copy, resell, sublicense or create a competing service from protected parts of Collty except where law cannot prohibit it;
  • send spam, automate deceptive engagement, manipulate rankings, reactions, achievements, reputation or team scores;
  • impersonate, misrepresent qualifications, publish defamatory or abusive material, or discriminate unlawfully;
  • use the Service or output to train a competing model or product without Collty's written permission;
  • circumvent safety, access, billing, usage, moderation or AI controls.

Collty may investigate suspected abuse and apply proportionate restrictions, including content removal, feature limits, suspension or termination.

Third-party services and integrations

The Service may link to, retrieve from or integrate with third-party identity, AI, communications, calendar, file, data or other services. Their terms and privacy notices apply to their services. Collty is not responsible for third-party products, content, availability or changes.

You authorize Collty to exchange information with an integration when you connect or use it. You are responsible for permissions, lawful use, credentials and fees associated with that third party. Removing an integration stops future access but may not delete data already transferred.

Collty intellectual property

Collty and its licensors own the Service, software, interface, design system, documentation, trademarks, models, scoring methods, compilations and related intellectual property, excluding your content and third-party materials. Subject to these Terms and payment of applicable charges, Collty grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended business purpose during your authorized access.

No rights are granted by implication. You may not remove notices, use Collty marks as your own, or represent that Collty endorses you, your team or your services without written permission.

Service changes, beta features and availability

Collty may improve, add, remove or change features, interfaces, providers and limits. We will not materially reduce a paid core service during a committed subscription term without reasonable notice, an equivalent alternative, or any remedy required by the applicable purchase terms or law.

Beta, preview, experimental and free features may be incomplete, changed or discontinued and are provided without a service-level commitment. Maintenance, provider failures, security events and circumstances beyond reasonable control can interrupt the Service.

Security and data protection

  • Collty maintains safeguards designed to protect the Service and personal information as described in the Privacy Policy.
  • You must use reasonable security, protect credentials, configure permissions, keep devices and integrations secure, and report suspected incidents promptly.
  • You must not disclose vulnerability details publicly before Collty has a reasonable opportunity to investigate and remediate them.
  • If Collty processes personal information on behalf of an organization, an applicable data processing addendum and documented instructions govern that processing.
  • You remain responsible for determining whether the Service is suitable for regulated or specially restricted data before uploading it.

Privacy requests and accountable processing

Your use of Collty remains subject to the Privacy Policy and applicable non-waivable data-protection rights. An authenticated user can submit and track access, portability, rectification, erasure, restriction and objection requests in My Account. Email remains available when account access is unavailable.

  • A request may require additional identity or authority verification before data is disclosed, corrected, restricted, exported or deleted.
  • Deletion can be limited by another person's rights, shared workspace ownership, billing and tax records, fraud prevention, disputes, legal holds, protected-backup rotation or another lawful obligation.
  • Collty records request deadlines, status changes and responses in a protected audit trail.
  • Collty maintains technical RoPA, DPIA, provider, transfer, retention and incident registers. Legal verification and contractual evidence remain separate from technical implementation.
  • Nothing in these Terms requires you to waive a right that applicable data-protection law does not permit you to waive.

Suspension and termination

You may stop using the Service at any time and may cancel a subscription according to the applicable purchase terms. Cancellation stops future renewal where applicable but does not erase amounts already due or obligations that arose before cancellation.

Collty may restrict or suspend access when reasonably necessary to address a security risk, unlawful use, serious or repeated breach, non-payment, harm to users or the Service, or a legal requirement. Where appropriate and legally permitted, we will provide notice and an opportunity to cure or appeal.

On termination, your license ends. You should export permitted content before termination. Collty may delete or de-identify content after the applicable retention period, subject to workspace ownership, legal holds, backups and contractual obligations. Sections that by nature should survive will survive, including payment obligations, intellectual property, disclaimers, liability, indemnity and dispute terms.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, AI OUTPUTS, RECOMMENDATIONS, SCORES, PUBLIC CONTENT AND BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." COLLTY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.

Collty does not warrant uninterrupted or error-free operation; that content or output is accurate, complete, lawful or fit for your purpose; that a user will perform; or that a team, project, payment, commercial or professional outcome will occur. These disclaimers do not exclude warranties or rights that cannot lawfully be excluded.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLTY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLTY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE DURING ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO COLLTY FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR A FREE SERVICE, LIABILITY WILL NOT EXCEED USD 100.

The limitations do not apply to liability that cannot lawfully be limited, which may include fraud, willful misconduct, death or personal injury caused by negligence, or mandatory consumer and data-protection liability. The allocation of risk in this section is reflected in the Service and pricing.

Business-user indemnity

If you use the Service for a business or organization, to the extent permitted by law you will defend and indemnify Collty and its affiliates against third-party claims, losses, liabilities, costs and reasonable legal fees arising from your content, your professional services or user-to-user agreement, your unlawful use, or your material breach of these Terms or third-party rights.

Collty will provide reasonable notice and permit you to control the defense, subject to Collty's right to participate and to approve a settlement that imposes liability, admission or operational obligation on Collty. This section does not apply to consumers where prohibited by law.

Governing law and disputes

The governing law and forum identified in an applicable order form or subscription record apply. If no governing law or forum is specified, the laws applicable to Collty's provision of the Service and the competent courts available under those laws apply, without regard to conflict-of-law rules. Mandatory consumer rights and legally required local forums remain unaffected.

Before filing a claim, you and Collty agree to send a written notice describing the dispute and requested resolution and to make a good-faith effort for 30 days to resolve it, unless urgent injunctive relief or a statutory deadline requires earlier action.

General terms

  • These Terms, the Privacy Policy, applicable purchase records and incorporated product terms are the entire agreement about the Service.
  • If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain effective.
  • Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the stated instance.
  • You may not assign these Terms without Collty's written consent. Collty may assign them in connection with a reorganization, financing, merger, acquisition or sale of the relevant business.
  • Neither party is liable for delay caused by events beyond reasonable control, except payment obligations already due.
  • Headings and summaries are for convenience. "Including" means "including without limitation." Electronic records and notices satisfy writing requirements where legally permitted.

Changes to these Terms

Collty may update these Terms to reflect changes in law, security, the Service or business model. Material changes will be notified through the Service, email or another appropriate method before taking effect where required. The effective date identifies the current version.

If you do not agree to a material update, you must stop using the affected Service and may cancel according to the applicable purchase terms. Continued use after the effective date constitutes acceptance where permitted by law, but does not override rights or consent requirements that cannot be waived.
